1. Agreement to Terms

By accessing or using TermsWatchdog (the “Service”), you agree to be bound by these Terms of Use and our Privacy Policy. If you do not agree, you must not access or use the Service.

These Terms constitute a legally binding agreement between you and Barbieri Technology Group LLC, including its owner, officers, affiliates, contractors, and representatives (collectively, “Barbieri Technology Group,” “we,” “us,” or “our”).

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. In such case, “you” refers to both you and that organization.

2. Description of Service

TermsWatchdog is an AI-assisted analysis platform that identifies and reviews publicly available legal documents associated with software tools, including but not limited to:

  • Terms of Service
  • Privacy Policies
  • End-User License Agreements (EULAs)
  • Data Processing Agreements

The Service produces summarized outputs (“Transparency Cards”) with risk indicators and supporting excerpts.

The Service may be offered under multiple plans, including but not limited to:

  • Free access (limited use)
  • Paid subscription plans
  • Enterprise or custom agreements

Features, limits, and availability vary by plan and may be modified at any time.

3. Subscription Plans and Billing

3.1 Paid Plans

Certain features of the Service require payment. By subscribing, you agree to:

  • Pay all applicable fees as described at the time of purchase
  • Provide accurate billing information
  • Authorize recurring charges where applicable

3.2 Billing Terms

  • Subscriptions may be billed monthly or annually
  • All fees are non-refundable except where required by law
  • We reserve the right to change pricing with reasonable notice

3.3 Enterprise Plans

Enterprise users may be subject to separate written agreements that supersede these Terms where explicitly stated.

3.4 Suspension

We reserve the right to suspend or terminate access for non-payment or suspected misuse.

4. Not Legal Advice

Important disclaimer

The Service provides informational analysis only. Barbieri Technology Group LLC is not a law firm and does not provide legal advice. No attorney-client relationship is created.

You are solely responsible for verifying all findings and consulting qualified legal counsel for decisions affecting your business, compliance, or risk exposure.

5. Accuracy, Limitations, and Risk Allocation

You acknowledge and agree:

  • Analysis is generated using AI systems and may contain errors, omissions, or misinterpretations
  • Source documents may be incomplete, outdated, or inaccessible
  • Policies may change without notice
  • An “UNKNOWN” rating reflects lack of accessible data, not risk level

You assume full responsibility for any decisions made based on Service output. The Service is a decision-support tool, not a verification or compliance system.

6. Acceptable Use

You agree not to:

  • Circumvent rate limits or access controls
  • Use automated systems to extract data at scale without permission
  • Reverse engineer or replicate the Service
  • Use the Service for competitive analysis against Barbieri Technology Group
  • Interfere with system performance or security

We reserve the right to investigate and take action against violations.

7. Your Inputs: Ownership, Licence, and AI Processing

You keep everything you own. You retain all right, title, and interest in everything you submit to the Service — the search terms and URLs you enter, and the contents of any document you upload. Using TermsWatchdog does not transfer ownership of your content to us, does not affect any copyright or other right you hold in it, and does not give us any ownership interest in it. What was yours before you used the Service remains yours afterwards.

The licence you grant is narrow and temporary. You grant us a limited, non-exclusive, non-transferable licence to process a submission solely in order to produce the analysis you asked for. That licence exists for no other purpose and ends when processing of that submission ends. It does not permit us to publish, sell, license, disclose, or otherwise use your inputs for anything else.

We do not train AI models on your inputs. We do not use your search terms, your uploaded documents, or the text extracted from them to train, fine-tune, or improve any artificial intelligence or machine-learning model — whether our own or a third party’s. We do not sell, rent, or license your inputs to anyone for that purpose or any other.

How the analysis works. Document text is transmitted to Anthropic, which provides the Claude model used to perform the analysis, and to Firecrawl where a public web page must be retrieved. Anthropic’s commercial terms for its API state that it does not use data submitted through the API to train its models; that commitment is Anthropic’s and is made in its own terms, and we describe it here because we rely on it rather than because we can guarantee another company’s conduct. The current list of every provider that processes data on our behalf, and what each one receives, is published in the Privacy Policy.

Uploaded documents are processed transiently. Files you upload are parsed in memory, their text is sent to our AI provider for analysis, and both the file and the extracted text are discarded when the request completes. We do not write uploaded files to disk or object storage, and we cannot retrieve a document once analysis is finished. Only the resulting report and file metadata are retained, for 365 days or until you delete it — whichever comes first. Retention periods for every category of data are set out in the Privacy Policy.

Nobody reads your documents. No employee, contractor, or agent of Barbieri Technology Group LLC reads the contents of documents you upload. There is no human review step in the analysis pipeline, and because uploaded files are never written to storage there is no copy for anyone to open. Our diagnostic error logs do record the file name and any search term you entered when a request fails, so that faults can be investigated; those logs are deleted after 30 days and never contain document contents.

You represent that:

  • You have the right to submit any URLs, tool names, or data
  • Your submissions do not violate any law or third-party rights
  • For any document you upload, you have the right to submit it for analysis and doing so does not breach a confidentiality or non-disclosure obligation

Nothing in this section reduces your own obligations to others. Even though we do not retain your uploads, you should not submit material you are not permitted to share — a non-disclosure agreement you signed binds you regardless of how carefully we handle the file.

8. Intellectual Property and Your Rights in Reports

The reports produced for you are yours to rely on. For every report generated from your request — including any PDF you export — we grant you a perpetual, irrevocable, worldwide right to use, retain, and share that report for your own purposes and inside your organisation, including in procurement, vendor review, risk assessment, and compliance work. That right survives the ending of your subscription and of these Terms: reports you have already generated do not stop being usable because you stopped paying us.

What we own is the machinery, not your reports. Barbieri Technology Group LLC owns the Service itself — the platform design and architecture, the AI Transparency Card format, the risk category definitions, the scoring methodology, the aggregate corpus of analyses across all tools, and the branding and trademarks. We do not claim ownership of your inputs, and our ownership of the methodology does not give us rights over your business decisions or your use of a report.

Quoted source material belongs to whoever published it. Reports quote passages from vendors’ own published terms and policies. Those passages remain the property of the vendor that published them; we quote them for analysis and commentary, and neither we nor you acquire rights in them.

Attribution and redistribution. You may share individual reports publicly with attribution to “TermsWatchdog by Barbieri Technology Group.” What you may not do is resell the Service or redistribute the corpus — that is, systematically extract, republish, or commercially exploit reports in bulk, or use them to build a competing dataset or service — without prior written permission. This restriction is about the collection as a whole, not about the reports you generated for your own use.

9. Third-Party Content

The Service analyzes third-party materials. We:

  • Do not control or verify third-party content
  • Do not endorse any third-party service
  • Are not responsible for third-party accuracy or legality

Use of third-party tools remains your responsibility.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OR RELIABILITY. We do not guarantee uninterrupted or error-free operation.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF DATA, BUSINESS INTERRUPTION, OR RELIANCE ON OUTPUT.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE PRIOR 12 MONTHS, OR $100 USD FOR FREE USERS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Barbieri Technology Group LLC, Craig Barbieri personally, and all affiliates, officers, contractors, and agents from any claims, liabilities, damages, losses, or expenses arising from:

  • Your use or misuse of the Service
  • Your reliance on Service outputs
  • Your violation of these Terms
  • Your breach of applicable laws or third-party rights
  • Any data or inputs you submit

This obligation survives termination of your use of the Service.

13. Service Modifications and Availability

We may:

  • Modify or discontinue features at any time
  • Change plan structures or pricing
  • Update these Terms

Continued use after updates constitutes acceptance.

14. Termination

We may suspend or terminate access:

  • For violations of these Terms
  • For suspected abuse or risk
  • At our discretion

You may discontinue use at any time.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of New Jersey, United States. Any disputes shall be resolved exclusively in courts located within that jurisdiction. You waive any objection to venue or jurisdiction.
